CincinnatiThe acquisition of Con/Span and BridgeTek by Middletown, Ohio-based Contech Construction Products Inc. represents a win for this region’s economy. The deal, which closed July 13, 2005, retains for the Tristate almost 100 professional positions and a significant tax base.

“During many mergers and acquisitions transactions, it is rare for the players to care so much about remaining in their community and taking care of their employees,” noted Peter Kubasek, partner at Blue Ash-based The Malibu Group, which advised Con/Span and BridgeTek during their sales to Contech. “But Con/Span and BridgeTek, as well as their shareholders, always focused on their people and sought to provide new opportunities. Consequently, they are joining an organization with a tremendous history and focus on growth.”

Bill Krul, CEO of Miller Valentine Group and shareholder in BridgeTek, emphasized the Malibu Group’s Midwest expertise and hands-on approach. “We chose Malibu over Wall Street firms because they are invested in seeing this region flourish. Plus, we knew they would provide valuable advice and around-the-clock service to move this deal to closure.”

Con/Span is headquartered in Dayton, Ohio, and is the industry leader in the design, development, promotion and licensor of precast concrete bridge system technologies. Headquartered in Cincinnati, BridgeTek is the largest licensee of Con/Span technology and is primarily engaged in the business of marketing, selling and fabricating precast concrete bridge systems. Contech is a leading civil engineering site solutions products and services company and has been part of the Greater Cincinnati area for more than 100 years. “Adding great management partners, technology and terrific staffing resources will allow the company to make significant growth strides,” said Pat Harlow, chairman of Contech.

Mike Herr, senior partner with Thompson Hine and counsel to Con/Span and BridgeTek spotlighted the importance of adding a mergers and acquisitions expert to the transaction team. "Malibu has been an important part of the team,” he said. “Their perseverance, dedication and objectivity helped bring this complicated transaction to close.”
